This Policy describes the conditions that customers participating in the DBP Free Tier agree to through use of the system.  


Parties to these Terms and Conditions

By using the systems provided by Delivery Biz Pro (“DBP”) under the Delivery Biz Pro Free Tier (“DB Free”), the customer accepts this agreement for service provided by DBP. 

A DB Free customer is deemed to be any operator, admin, user of an e-commerce shop and associated delivery biz pro software systems (inventory and logistics tools, web applications, mobile applications, APIs, data products) whose commercial contract is not covered under a PRO contract and who operates using a DB Free account

The DB Free Terms and Conditions are subject to change by Delivery Biz Pro from time to time, in which case they are effective after 30 days. We will notify you of any changes by posting the new Policy on this page with an updated date. Major changes may be sent to existing customers by email as a courtesy.  You are advised to review this Policy periodically for any changes.

 

Termination of service

A customer may terminate their account at any time by notifying the DBP team in writing via email at clientservices@deliverybizpro.com Per the terms that follow, the customer may continue to have rights and obligations under the terms of the service provided – whether that is to and with DBP or associated parties relevant to provision of services included in the Free Tier notably, but not solely including, DBPay.

The customer using a DB Free Tier account commits to the following, breach of may be subject to remedies including temporary or permanent loss of use of the platform. 

 

DB Pay

Customers who sign up for DB Free must be approved for DBPay and use it for payment gateway/processing to receive and continue access to the platform. Customers who cease to be eligible for DBPay may no longer be eligible for the DB Free Tier.

  1. Core Processing Rates  Customers agree to the terms of DB Pay – whereby payment processing and gateway services will be provided through Delivery Biz Pro’s DB Pay solution, with fixed fees for orders processed of 3.4% of commercial transactional value + $0.30 per transaction. 
  2. Changes to DBP Payments Facilitator Relationship All payment transaction reporting and support will be provided by DBP or their chosen Tier 3 support partner for payments inquiries, which is Fidelity Payment Services DBA SOLA as of the time of this contract but subject to change at the sole discretion of DBP. Should payment partner changes occur, DBP commits where possible to providing the customer a 90 day period notice to support any transition.
  3. Optional payment fee programs: These programs, Including but not limited to credit surcharging, dual pricing, ACH discounting, or similar payment cost recovery programs, may be made available to eligible merchants. Availability, pricing, disclosures, customer facing treatment, and compliance requirements may vary based on merchant location, payment method, card brand rules, processor requirements, and applicable law. Merchants will receive applicable program specific terms, fees, and disclosure requirements before enabling or adopting any such program

 

Minimum Customer Commercial Activity Threshold

To avoid maintaining accounts which are not used indefinitely, DB Free has a minimum customer commerce volume that must be achieved and maintained.  As of the second full quarter from registration, DB Free customers must achieve a monthly average of $22k in order volume (evaluated quarterly in arrears) or will be charged a Cost of Support Service Fee to cover 3rd party cloud costs of provision of software. As of the date of this contract, the monthly fee for impacted customers is $150 USD per month.

Example 1: Minimum Customer Commercial Activity CSS Fees:

67 Cashew Corp registered for DB Free on July 15th 2026. They begin commercial operations on the Free Plan platform on July 25th.

During the months November 2026 – January 2027 (second full quarter of operations) they conduct a monthly average of $15k of commercial volume. 

On February 1st 2027 67 Cashew Corp will be assessed a fee of $450 (3 months at $150 per month) for the last quarter of service and support – since they are below minimum commercial operations thresholds for access to the platform

In the next 3 month period (Feb-Apr), 67 Cashew Corp does $26k per month in average sales. 

In this scenario, no Cost of Support Service Fees ($0) will be applied at the next evaluation point (5/1/2027). Their sales volume was greater than the minimum and they are deemed to be making good use of the Free Plan and DBP platform.

 

Free Pro Tier Trial & Upgrade to Pro Tier

DB Free customers may, at the sole discretion of DBP, be offered a Pro tier trial license for a period of 6 months. This may be extended to 12 months at the sole discretion of DBP.

The 6 month trial license begins upon registration and ends as soon as 180 days later. 

Should customers opt not to upgrade to the Pro tier at or before the end of the trial, they will forfeit any customization dependent on Pro Tier features and all access to Pro features. 

There is no implied commitment by DBP to maintain customer access to data, configurations or features within the scope of the Pro trial beyond the end of the trial period, though data required to maintain DB Free service will be guaranteed by DBP.

Features may be added or removed from the Free Trial at the sole discretion of DBP with 30 business days notice. New features added to DBP tiers and marked as ‘Beta’ are not considered to be core elements of DBP’s service and subject to service availability commitments.

Should a customer opt to upgrade to the Pro tier, all previously Pro Free Trial configurations, customization and features will be maintained without interruption on the existing account. Any merchant who wishes to upgrade to the DB Pro tier may do so by selecting the upgrade my plan account admin option or notifying DBP. The upgrade will be confirmed by email and will be effective as of the date on which Pro feature access is granted. Upgrades to Pro will be contingent on acceptance of Pro Tier Terms of Service. The Pro Tier will be chargeable beginning the 1st of the month immediately following the upgrade, until such time the Free tier terms of service continue to apply. 

 

Limits to Commerce Volume on DB Free

Due to the operational and technological implications of larger customers transaction volume and the associated complexity and support needs which ensue, customers exceeding commerce volume levels on a monthly basis will be subject to Enterprise fees.

All other DB Free terms and conditions apply but in months where ordered $ value is in excess of the Enterprise Scale Threshold set at $42,000 USD, a $0.75 fee applies per $100 of orders processed. 

The Enterprise Scale Threshold and fee is subject to change annually at the sole discretion of DBP with 90 days notification.

Example 2: Fees where Customer reaches Enterprise Scale

67 Cashew Corp, running their business on DB Free, accepts $25,000 in orders on average monthly January-March then $35,000 in orders on average monthly April-June.

In July, orders were $45,000, greater than the Enterprise Scale Threshold

On Sept 1st, a fee of $22.50 will be charged for the month of August,, applying 75c per $100 against the $3k in excess of the $42k DBP Free Tier Enterprise Scale Threshold.

In September, if 67 Cashew Corp completes $50k in orders, they will be subject to an Enterprise Scale Fee for that month of $60.00, chargeable on the 1st of October.

In October, if 67 Cashew Corp completes $39k in orders, they will not be subject to an Enterprise Scale Fee for that month since they are below the threshold and no such fees apply.

Customers who reach 90% of the Enterprise Scale threshold will be required to provide valid credit card details for monthly payment of fees, as applicable. 

Fees will be auto-charged monthly on ACH or credit card where applicable and reported continuously throughout the month within the DBP Admin Portal.
